These Terms of Service ("Terms") govern your access to and use of the Resolve platform ("Service") operated by Resolve ("we," "our," or "us"). By accessing or using the Service, you agree to be bound by these Terms.
1. Service Description
Resolve is an AI-powered decision acceleration platform that enables teams to make structured, asynchronous decisions. The Service includes decision rooms, AI-generated briefs and consensus summaries, stakeholder input collection, decision memory, knowledge base, and third-party integrations.
Resolve provides decision support tools only. The Service does not constitute professional advice (legal, financial, medical, or otherwise). You are solely responsible for all decisions made using the Service.
2. Eligibility and Accounts
- You must be at least 16 years old to use the Service.
- You must provide accurate and complete information when creating an account.
- You are responsible for maintaining the security of your account credentials.
- You are responsible for all activities that occur under your account.
- One person or entity may not maintain more than one free trial account.
3. AI-Generated Content
The Service uses artificial intelligence (OpenAI's GPT models) to generate decision briefs and consensus summaries. Regarding AI-generated content:
- AI outputs are provided "as-is" with no guarantee of accuracy, completeness, or fitness for any particular purpose.
- AI outputs may contain errors, biases, or inaccuracies. You must independently verify any AI-generated content before relying on it.
- You are solely responsible for decisions made based on AI outputs. Resolve disclaims all liability for consequences arising from reliance on AI-generated content.
- AI outputs are clearly labeled as AI-generated within the Service.
- You must not use AI features to generate content that violates our Acceptable Use Policy or applicable law.
4. Subscription Plans and Billing
4.1 Plans
The Service is offered under the following plans:
- Trial: 14-day free trial with full Team-tier access. No credit card required. After expiration, access becomes read-only until a paid plan is activated.
- Team ($14/month or $150/year): Up to 50 team members, core integrations (Slack, Jira).
- Business ($24/month or $250/year): Unlimited team members, all integrations, API access, priority support.
4.2 Billing
- Subscriptions are billed in advance on a monthly or annual basis via Stripe.
- Billing is per-seat. Adding team members increases your subscription cost proportionally.
- All fees are non-refundable except as required by applicable law or as expressly stated in these Terms.
- We reserve the right to change pricing with 30 days' prior notice. Price changes take effect at the start of the next billing cycle.
4.3 Cancellation
You may cancel your subscription at any time through your billing settings. Cancellation takes effect at the end of the current billing period. You retain access to paid features until then.
5. Intellectual Property
5.1 Your Data
You retain all ownership rights to the content you submit to the Service ("Your Data"). By using the Service, you grant us a limited, non-exclusive license to process, store, and transmit Your Data solely to provide and improve the Service.
5.2 Our Platform
We retain all rights, title, and interest in the Service, including its software, algorithms, design, trademarks, and documentation. Nothing in these Terms grants you any right to use our trademarks, logos, or brand elements without prior written consent.
5.3 AI Output Ownership
You own the AI-generated content produced by the Service based on Your Data, subject to these Terms and OpenAI's usage policies. We retain no ownership claim over AI outputs generated from your content.
5.4 Feedback
If you provide feedback, suggestions, or ideas about the Service, you grant us an unrestricted, perpetual, irrevocable license to use that feedback for any purpose without compensation.
6. Acceptable Use
Your use of the Service is subject to our Acceptable Use Policy, which is incorporated into these Terms by reference.
7. Third-Party Integrations
The Service integrates with third-party platforms (Slack, Microsoft Teams, Jira, Notion, Google Calendar, Outlook). Regarding these integrations:
- Third-party services are governed by their own terms and privacy policies. You must independently agree to those terms.
- We do not control and are not responsible for the availability, security, or functionality of third-party services.
- We may add, modify, or discontinue integrations at any time with reasonable notice.
- Integration of these services does not imply endorsement by or partnership with those providers.
8. Privacy and Data Protection
Our collection and use of personal data is described in our Privacy Policy. For enterprise customers requiring a Data Processing Agreement, see our DPA.
9. Limitation of Liability
To the maximum extent permitted by applicable law:
- The Service is provided "AS IS" and "AS AVAILABLE" without warranties of any kind, whether express, implied, or statutory.
- We disclaim all warranties of merchantability, fitness for a particular purpose, non-infringement, and accuracy of AI-generated content.
- Our aggregate liability for all claims arising from or related to the Service shall not exceed the total fees paid by you in the 12 months preceding the claim.
- We shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including loss of profits, data, business opportunities, or goodwill.
- We are not liable for any loss or damage arising from reliance on AI-generated content, outages or unavailability of third-party integrations, or actions of other users.
10. Indemnification
You agree to indemnify and hold harmless Resolve, its officers, directors, employees, and agents from any claims, liabilities, damages, losses, and expenses (including reasonable legal fees) arising from your use of the Service, violation of these Terms, or violation of any third-party rights.
11. Termination
- By you: You may terminate your account at any time by contacting support or through account settings.
- By us: We may suspend or terminate your access for violation of these Terms, with notice except in cases of egregious violations.
- Effect of termination: Upon termination, your right to use the Service ceases immediately. We will retain your data for 30 days after termination to allow export, then delete it per our data retention policy.
- Sections relating to IP, liability, indemnification, and dispute resolution survive termination.
12. Modifications to Terms
We may modify these Terms at any time. We will provide at least 30 days' notice of material changes via email or in-app notification. Continued use of the Service after the effective date constitutes acceptance of the modified Terms. If you disagree with any changes, your sole remedy is to terminate your account.
13. Governing Law and Disputes
These Terms are governed by the laws of the State of Delaware, United States, without regard to its conflict of laws provisions. Any disputes arising from these Terms or the Service shall be resolved exclusively in the state or federal courts located in Delaware, and you consent to the personal jurisdiction of those courts.
For users in the European Economic Area, nothing in this section limits your right to bring proceedings in your local courts or to invoke mandatory consumer protection laws of your country of residence.
14. Force Majeure
We shall not be liable for any failure or delay in performing our obligations due to events beyond our reasonable control, including natural disasters, government actions, internet or infrastructure failures, third-party service outages (including AI provider outages), or cyberattacks.
15. General
- Entire Agreement: These Terms, along with the Privacy Policy and Acceptable Use Policy, constitute the entire agreement between you and Resolve.
- Severability: If any provision is found unenforceable, the remaining provisions continue in effect.
- Waiver: Failure to enforce any right or provision does not constitute a waiver.
- Assignment: You may not assign these Terms without our prior written consent. We may assign our rights and obligations in connection with a merger, acquisition, or sale of assets.
